We often get asked the question about, what can I do about an inactive business partner? This comes up in several circumstances. Sometimes a partner is reaching the age of retirement and wanting to slow down in what they're doing for the company. Sometimes they're engaged in other business activities and competitive activities.

So, again, this boils down to what corporate documents do we have? Do we have a member's agreement or operating agreement that provides for situations like we've just run into? If we don't have those type of documents, then we have to look to each situation as to what the facts are as to why that particular member, partner, shareholder is moving away or becoming inactive.

Clearly, one of the things that we look is to determine whether or not that partner that is becoming inactive has in any way acted inappropriately. Have they taken funds? Have they taken clients? Are they setting up a competing business? Because each of these are the factors that we have to review in order to determine the appropriate course of action for your particular situation.
